Real Estate Acquisitions and Dispositions

Our attorneys routinely handle the purchases and sale of raw land for development, leased projects, and investment properties. The firm’s clients in this area range from individuals making their first real estate investment to institutional investors. Our work in this area includes negotiating letters of intent and purchase agreements, evaluating title documents and surveys, drafting CC&Rs and easements, and negotiation loans on behalf of borrowers.

Commercial Leasing

Our firm’s attorneys have substantial experience handling leases of office properties, retail and restaurant facilities, industrial projects, and school sites.  The firm’s lease work has included ground leases of anchor-tenant premises, sale/leaseback and lease/leaseback transactions, build-to-suit and reverse build-to-suit leases of major tenant buildings and pads, shop space leases, ground leases of outparcels, and a variety of specialized space leases.

Tenant Representation

We represent retailers, restaurants and banks with respect to their purchase or lease of sites for retail facilities. Mike Valenzuela has handled these types of deals in various locations throughout the southwestern United States for clients such as Bruegger’s, Boston Market, Einstein Bros. Bagels, The Keg Steakhouse, First National Bank of Arizona, Guardian Savings, Jason’s Deli, Noodles & Company, Kidz Connextion Dental Centers, V’s Barbershop, and Great Hearts Academies.

Loan Workouts

Mr. Valenzuela handles the negotiation of loan workouts and deed-in-lieu transactions. The types of documents used in these deals include forbearance agreements, loan modification agreements, tri-party agreements, deed-in-lieu agreements, and related loan documents.

Real Estate Investment

In this changing real estate market, investment properties are being acquired in non-traditional ways, such as note purchases. In many of these deals, sellers are demanding that their buyers take more risk than in a traditional sale of a commercial property. Our firm’s attorney handle the negotiation and documentation of these deals, which often include a note purchase agreement and related documents.

Real Estate Development

We represent developers of office, retail, and industrial projects, student living centers, and charter schools. Our work in this area includes the preparation and negotiation of purchase agreements, listing agreements, leases, financing documents, loan assumption documents, construction contracts, reciprocal easement and operation agreements, property management agreements, purchase option agreements, and a variety of other real estate documents.

Corporate Real Estate

Our firm represents business who require our assistance in buying or leasing properties for their own companies. This includes manufacturing companies, retail stores, and professional groups.

Non-Profit Organizations

Our firm handles the real estate legal work for the owner and operator of a group of charter schools. Our firm has also represented churches in their construction of living centers and the disposition of surplus properties and other non-profit groups with respect to their real estate matters.
